US лицо или организация, которой компания поручает ведение своего реестра акционеров, а также перерегистрацию и подтверждение права собственности на ценные бумаги; кроме того, регистратор составляет списки акционеров, осуществляет выплату дивидендов, реинвестирование доходов, рассылку материалов к собраниям акционеров, участвует в организации голосования на собраниях (в т.ч. рассылка бюллетеней и подсчет голосов), осуществляет операции конвертации или обмена акций, аннулирование и выдачу сертификатов, а также разрешением проблем, возникающих в результате потери, порчи, или кражи сертификатов, и т.п.

NB: в русском языке термин "трансфер агент" обозначает юридическое лицо - профессионального участника рынка ценных бумаг, которое выполняет по договору с регистратором функции по приему от зарегистрированных лиц или их уполномоченных представителей и передаче регистратору информации и документов, необходимых для проведения операций в Реестре, а также функции по приему от регистратора и передаче зарегистрированным лицам или их уполномоченным представителям информации и документов, полученных от регистратора. Трансфер-агент не осуществляет открытие и ведение лицевых счетов зарегистрированных лиц и иные операции в Реестре (возм. перевод термина на английский язык - re-registration agent)
